Overview

YELLEEN is the founding company from which the wider NOVEZI Group evolved. Established as the group's first business, it served as the original platform for building international commercial relationships, identifying products and suppliers, connecting buyers with opportunities, and learning how cross-border transactions work in practice. In its earlier development, YELLEEN's activities naturally extended beyond conventional trading into sourcing, production-related opportunities, mineral supply chains, logistics coordination and investment-oriented initiatives. That breadth was instrumental in shaping the experience, partnerships and commercial perspective that later supported the creation of specialized businesses within the group.

As these activities expanded, the need for clearer responsibilities became increasingly evident. Agricultural commodities, mineral projects, logistics operations and other business lines required different expertise, decision-making processes, risk controls and investment horizons. Rather than continue concentrating every activity in one company, NOVEZI progressively separated specialized sourcing, production participation, investment evaluation and operational logistics into dedicated group businesses. NOVE AGRI was developed to focus on agricultural sourcing and production-linked opportunities. NOVE MINE emerged from iron-ore trading experience to concentrate on mineral assets, procurement and operational collaboration. The group's logistics function took shape around mine-to-port coordination, maritime shipping and international cargo movements. These developments did not diminish YELLEEN's role; they clarified it.

Today, YELLEEN operates as the group's dedicated international trading and commercial-execution arm. Its central responsibility is to structure, negotiate and coordinate cross-border transactions between qualified counterparties. It focuses on the contractual and procedural side of international commerce: understanding the product and the market, defining commercial terms, identifying the parties responsible for each stage, aligning documentation with the transaction, and ensuring that the contractual framework reflects the operational and regulatory realities of origin and destination markets. Its purpose is not to own every step of a supply chain, but to make the commercial relationship between those steps workable.

International contracts are a core part of this role. YELLEEN works on the commercial structure of import and export transactions, including product specifications, quality and quantity provisions, Incoterms, delivery conditions, shipment windows, documentary requirements, inspection arrangements, allocation of responsibilities, and mechanisms for handling non-conformity or delays. Depending on the transaction, these matters may involve suppliers, producers, buyers, inspection companies, banks, shipping agents and other service providers. A clear contract is treated as a practical instrument for aligning expectations and reducing avoidable uncertainty—not merely a formality to be completed after a deal has been agreed.

Export and import procedures are another important area of concentration. Cross-border trade depends on accurate commercial documents, appropriate customs classifications, origin and destination requirements, and any applicable permits, registrations or authorizations. YELLEEN coordinates the commercial side of these processes and works with qualified customs, legal, regulatory and logistics professionals where specialized execution is required. The company has experience engaging with regulated commodity categories and relevant Brazilian import/export requirements, but the existence or applicability of any specific license must be checked for each product, entity and transaction. YELLEEN does not present itself as a customs authority or guarantee approvals outside its control.

Payment arrangements and transaction security are equally central. International commerce requires a shared understanding of currency, payment timing, documentary triggers, counterparty verification, banking channels and the allocation of financial exposure between buyer and seller. YELLEEN's role is to negotiate and coordinate commercially viable payment structures, assess the practical implications of proposed terms, and align the payment process with contract performance and applicable financial controls. It does not claim to operate as a bank, payment institution or licensed foreign-exchange provider. Where financial or banking services are required, they are carried out through appropriately authorized institutions and counterparties.

The company's international relationships remain one of its defining strengths. YELLEEN works across different commercial cultures, legal systems and supply environments, connecting business partners in Brazil and overseas markets. Its trading activity is shaped by the ability to understand what each side of a transaction needs: the supplier's production and delivery conditions, the buyer's technical and commercial expectations, and the regulatory and logistical framework connecting them. The emphasis is on credible counterparties, clear communication, transparent commercial terms and relationships that can support repeat business over time.

Although several specialized product categories have moved into dedicated NOVEZI businesses, YELLEEN retains direct responsibility for selected trading lines that have not been separated. These include petroleum-related products and other industrial or commercial commodities that remain within its current scope. Such transactions may require product-specific documentation, regulatory approvals, transport arrangements and compliance checks. Their continued presence within YELLEEN reflects a deliberate portfolio structure: a trading business capable of managing selected product categories while allowing more operationally intensive sectors to develop within specialized group companies.

This division of responsibilities is particularly visible in the relationship between YELLEEN, NOVE AGRI and NOVE MINE. The agricultural and mining businesses may concentrate on sourcing at origin, production relationships, procurement and investment or operational assessments. YELLEEN contributes international buyer relationships, transaction negotiation, contractual structure, trade documentation and commercial coordination. The group's logistics function supports the physical movement of goods through relevant transport partners. The result is a complementary model in which trading, operational execution and investment analysis are connected but not confused with one another.

YELLEEN's current identity is therefore more focused than its original scope, while drawing on a wider foundation of experience. It is not intended to function as a holding company, a general investment vehicle, a mining operator or a transport company. Its role is international trade: connecting counterparties, structuring transactions and navigating the commercial processes that allow goods and opportunities to move between markets. This specialization gives YELLEEN a distinct position within NOVEZI Group and allows the broader organization to develop without losing the commercial expertise on which it was built.

The long-term objective is to remain a disciplined and adaptable international trading partner, capable of supporting both selected direct product lines and transactions involving other businesses of the group. By concentrating on contracts, procedures, regulatory coordination, payment arrangements and international partnerships, YELLEEN seeks to make complex cross-border commerce more understandable, structured and dependable. Its history explains the breadth of its perspective; its present focus defines the value it aims to deliver.

Brand Story

THE FIRST CONNECTION.

Before NOVEZI became a group of specialized businesses, there was YELLEEN.

It began with a straightforward commercial idea: opportunities in one market could become meaningful in another when the right people, products and terms were brought together. The early work of international trading introduced the company to the realities behind every transaction—different expectations, technical requirements, shipping routes, payment conditions, regulations and the need for trust between counterparties who may never meet in person.

As the relationships expanded, so did the questions. A mineral transaction led closer to mines and the operational realities of supply. Agricultural trade opened conversations about producers, harvests and longer-term sourcing. International shipments made logistics an essential part of commercial planning. What started as trading became a source of experience across production, transport, investment opportunities and international market access.

Growth eventually demanded a different structure. It was no longer enough for one company to carry every responsibility. Mining required specialized operational and investment attention. Agriculture called for closer relationships with production and supply. Logistics needed its own coordination capabilities. The creation of distinct NOVEZI businesses was not a departure from YELLEEN's story; it was a continuation of it.

YELLEEN returned to the discipline at the center of its identity: international trading.

Today its work is focused on the space where commercial intentions become enforceable commitments and executable transactions. Contracts define what the parties have agreed. Documents and authorizations help a shipment move through the correct channels. Payment structures connect performance with financial responsibility. International partnerships give a transaction the relationships it needs to succeed. These are often the least visible parts of global commerce, yet they are among the most important.

The company continues to trade selected products directly, including petroleum-related and other industrial lines that remain within its portfolio. At the same time, it provides commercial reach and transaction expertise that complement the group's specialized agricultural, mining and logistics activities. YELLEEN no longer needs to be every part of the supply chain. Its strength is knowing how those parts connect.

There is a quiet distinction between finding an opportunity and making it workable. A product can exist, a buyer can be interested and a route can be available—yet without clear terms, responsible counterparties, appropriate documentation and a credible payment structure, the transaction remains incomplete. YELLEEN's role is to work in that space between possibility and execution.

It is where the group's story began, and where its international commercial relationships continue to take shape.
